Directors in attendance included Messrs. [insert directors attending]. The following directors were not in attendance: [insert]. [Also in attendance was [__________ of legal counsel], and [insert others]. __________ was the Chairman of the meeting, and [__________] served as Acting Secretary for the meeting.

The Chairman called the meeting to order.

The first order of business was approval of minutes from the prior board meeting held on __________ . Upon motion duly made, seconded and approved, the board approved the minutes of the prior meeting [in the form presented/with certain changes].

The next item of business was [indicate which items of business were discussed].

If a motion is passed, say, β€œUpon motion duly made, seconded and adopted, the board approved…”
